These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and RecruiterX, a product of Teleias, LLC ("RecruiterX," "we," "us," or "our"), governing your access to and use of the RecruiterX platform, available at www.recruiterx.ai, including all related services, features, applications, and content (collectively, the "Service").

1 Acceptance of Terms

By creating an account, accessing, or using RecruiterX in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies referenced herein. If you are using RecruiterX on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of RecruiterX after any modifications to these Terms constitutes your acceptance of the revised Terms.

2 Account Registration

To access RecruiterX, you must create an account by providing accurate, complete, and current information. You agree to the following:

  • Accurate Information: You must provide truthful and up-to-date registration details, including your legal name, business email address, company name, and any other requested information. You are responsible for updating your account information promptly if it changes.
  • One Account Per Person: Each individual user must maintain only one account. Creating multiple accounts to circumvent plan limits, evade bans, or abuse the Service is strictly prohibited.
  • Account Security: You are solely responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at support@recruiterx.ai if you suspect any unauthorized access to your account.
  • Administrator Responsibility: If you create a team or organizational account, the account administrator is responsible for all activity conducted under that account, including actions taken by invited team members. Administrators must ensure all team members comply with these Terms.
  • Age Requirement: You must be at least 18 years of age to use RecruiterX. By registering, you represent and warrant that you meet this age requirement.

3 Subscription Plans and Billing

RecruiterX offers tiered subscription plans designed to meet the needs of individual recruiters through large agencies. All billing is processed securely through a PCI-compliant third-party payment processor.

3.1 Available Plans

Starter $199/mo For individual recruiters getting started with AI-powered sourcing.
Professional $499/mo For professional recruiters needing higher volume and advanced features.
Enterprise $1,499/mo For recruiting teams requiring full platform access and priority support.
Agency $2,999/mo For recruiting agencies with multi-user access, dedicated support, and custom integrations.

3.2 Billing Cycle

Subscriptions are billed on a monthly recurring basis. Your billing cycle begins on the date you subscribe to a paid plan (or upon expiration of your free trial if you provided payment information). You will be charged the applicable subscription fee at the start of each billing cycle.

3.3 Plan Limits and Overages

Each subscription plan includes specific limits on searches, enrichments, campaign sends, and AI conversation credits. If you exceed your plan's included limits during a billing cycle, overage charges may apply at rates specified in your plan details. We will make reasonable efforts to notify you when you approach your plan limits.

3.4 Payment Method

You authorize us to charge your designated payment method for all fees associated with your subscription. You are responsible for keeping your payment information current. If payment fails, we may suspend access to the Service until the outstanding balance is resolved.

3.5 Refund Policy

Subscription fees are non-refundable except as required by applicable law. If you cancel your subscription, you will retain access to the Service through the end of your current billing period, but no prorated refund will be issued.

4 Free Trial

RecruiterX offers a 14-day free trial to new users, subject to the following conditions:

  • No Credit Card Required: You may begin your free trial without providing payment information. You will not be charged during the trial period.
  • Trial Features: During your free trial, you will have access to a limited set of platform features as determined by RecruiterX. Feature availability during the trial may differ from paid plans.
  • Conversion to Paid Plan: At the end of the 14-day trial period, you will be prompted to select a paid subscription plan to continue using the Service. If you do not subscribe, your account will be placed in a restricted state, and you will no longer have access to premium features.
  • One Trial Per User: Free trials are limited to one per individual or organization. Attempts to create multiple accounts to obtain additional free trials constitute a violation of these Terms.
  • Data Retention: Data created during your free trial (including search history, campaigns, and notes) will be retained for 30 days following trial expiration, allowing you to resume where you left off upon subscribing.

5 Acceptable Use Policy

You agree to use RecruiterX solely for lawful recruiting purposes and in compliance with all applicable federal, state, and local laws and regulations. The following activities are strictly prohibited:

5.1 TCPA Compliance (SMS Campaigns)

When using RecruiterX's SMS campaign features, you must comply fully with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all applicable telecommunications regulations. This includes, but is not limited to:

  • Obtaining proper consent before sending any SMS messages to candidates.
  • Honoring all opt-out requests promptly (within the timeframe required by law).
  • Including required disclosures and identification in all outbound messages.
  • Maintaining records of consent for all recipients.
  • Complying with time-of-day restrictions for sending messages.

Important: You are solely responsible for ensuring TCPA compliance. RecruiterX provides tools to facilitate compliance (e.g., opt-out management), but ultimate legal responsibility rests with you, the sender.

5.2 No Spam or Harassment

You must not use RecruiterX to send unsolicited bulk messages, harass candidates, or engage in any form of abusive communication. You must respect candidates' expressed preferences and cease contact when requested. Repeated messaging of candidates who have not responded or who have declined interest is prohibited.

5.3 Non-Discrimination

You must not use RecruiterX data or features for any discriminatory purpose. This includes using provider data to discriminate based on race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability, genetic information, veteran status, or any other characteristic protected by applicable law.

5.4 No Credential Sharing

Each user must have their own individual licensed account. You must not share login credentials, access tokens, or session information with any other person. If multiple individuals within your organization need access, each must be provisioned their own user account under your organization's subscription plan.

5.5 No Scraping or Bulk Export

You must not scrape, crawl, or use automated tools to extract data from RecruiterX in bulk. You must not export provider data for use outside the platform except through officially supported export features and within the limits of your subscription plan. Systematic downloading, copying, or redistribution of the provider database is strictly prohibited.

5.6 Legitimate Recruiting Use Only

RecruiterX is designed exclusively for legitimate healthcare recruiting activities. You must not use the Service for any other purpose, including but not limited to: marketing non-recruiting products or services to providers, conducting market research unrelated to recruiting, building competitive databases, or any purpose that violates the professional expectations of healthcare providers listed in the database.

6 AI Conversations (Solomon AI)

RecruiterX includes an AI-powered conversational agent known as Solomon AI, which is designed to engage with healthcare candidates on your behalf. By using Solomon AI, you acknowledge and agree to the following:

6.1 AI-Generated Messages

Messages sent through Solomon AI are generated by artificial intelligence, not written by a human. While Solomon AI is designed to communicate professionally and accurately, it may occasionally produce responses that are imprecise or contextually imperfect. RecruiterX continuously improves Solomon AI's capabilities, but does not guarantee that every AI-generated message will be error-free.

6.2 Your Responsibility for Content Accuracy

You are responsible for reviewing and ensuring the accuracy of job descriptions, compensation details, practice information, and any other substantive content that Solomon AI communicates to candidates. RecruiterX is not liable for inaccuracies in content you provide or approve for use in AI conversations. It is your responsibility to configure Solomon AI with truthful and current information about the positions you are recruiting for.

6.3 Disclosure of AI Use

If a candidate directly asks whether they are communicating with a human or an AI, you must ensure that the interaction is truthfully disclosed as AI-powered. Solomon AI is configured to make this disclosure when asked, and you must not override or circumvent this behavior. Misrepresenting AI-generated communications as human-written may violate applicable laws and constitutes a violation of these Terms.

7 Data Ownership

7.1 NPPES Data

The National Plan and Provider Enumeration System (NPPES) data available through RecruiterX is public data maintained by the Centers for Medicare and Medicaid Services (CMS), a United States government agency. This data is publicly available and is not proprietary to RecruiterX. RecruiterX provides value-added organization, search, and enrichment of this public data.

7.2 Enrichment Data

Contact information and other data obtained through licensed third-party enrichment services is subject to the terms and conditions of those third-party data providers. Your use of enriched data must comply with both RecruiterX's Terms and the applicable third-party provider terms. RecruiterX does not warrant the accuracy or completeness of third-party enrichment data.

7.3 User-Uploaded Content

Any content you upload to RecruiterX -- including job descriptions, company profiles, notes, candidate assessments, and documents -- remains your intellectual property. By uploading content, you grant RecruiterX a limited, non-exclusive license to store, process, and display that content solely for the purpose of providing the Service to you.

7.4 Campaign Data and Analytics

Campaign data, including message history, response analytics, conversion metrics, and candidate engagement data generated through your use of RecruiterX, is owned by you within the platform. You may export this data through supported export features. RecruiterX may use aggregated, anonymized campaign performance data to improve the Service, but will not share your individual campaign data with third parties.

8 Service Availability

RecruiterX strives to maintain high availability and reliable performance. However, you acknowledge and agree to the following:

  • Best-Effort Availability: The Service is provided on a "best effort" basis. We do not guarantee uninterrupted, error-free, or secure access to RecruiterX at all times.
  • Planned Maintenance: We may perform scheduled maintenance that temporarily affects Service availability. We will make reasonable efforts to provide advance notice of planned downtime.
  • No Uptime SLA for Starter and Professional Plans: Starter and Professional plan subscribers do not receive a formal Service Level Agreement (SLA) for uptime guarantees. Enterprise and Agency plan subscribers may negotiate SLA terms as part of their subscription agreement.
  • Third-Party Dependencies: RecruiterX relies on third-party services (including cloud hosting, enrichment APIs, and communication providers). Interruptions in third-party services may affect RecruiterX functionality, and we are not liable for such interruptions.

9 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RECRUITERX, TELEIAS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF RECRUITERX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO RECRUITERX DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

10 Indemnification

You agree to indemnify, defend, and hold harmless RecruiterX, Teleias, LLC, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or any activity conducted through your account.
  • Your violation of these Terms or any applicable law or regulation.
  • Your violation of the TCPA, CAN-SPAM Act, or any other telecommunications or marketing regulation in connection with your use of the Service's campaign features.
  • Any content you upload, transmit, or make available through the Service.
  • Your infringement of any third party's intellectual property, privacy, or other rights.
  • Any claim by a candidate, provider, or other third party arising from messages sent through your account, whether manually composed or generated by Solomon AI.

11 Termination

11.1 Termination by You

You may cancel your subscription and terminate your account at any time through your account settings or by contacting support@recruiterx.ai. Upon cancellation, your subscription will remain active through the end of your current billing period. After that period expires, your access to premium features will be revoked.

11.2 Termination by RecruiterX

We reserve the right to suspend or terminate your account, without prior notice, if we reasonably determine that you have:

  • Violated these Terms, including the Acceptable Use Policy.
  • Engaged in fraudulent, abusive, or illegal activity.
  • Failed to pay subscription fees after reasonable notice and opportunity to cure.
  • Used the Service in a manner that threatens the security, integrity, or availability of the platform for other users.
  • Created risk or possible legal exposure for RecruiterX or other users.

11.3 Effect of Termination

Upon termination, your right to access and use the Service will cease immediately (or at the end of your current billing period for voluntary cancellations). We will retain your data for 30 days following termination, during which time you may request an export of your user-uploaded content and campaign data. After this 30-day retention period, your data may be permanently deleted.

12 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. You agree that any legal action or proceeding arising out of or related to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in the State of Texas, and you consent to the personal jurisdiction of such courts.

13 Dispute Resolution

13.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at support@recruiterx.ai. We will make good-faith efforts to resolve the dispute within 30 days of receiving your written notice.

13.2 Binding Arbitration

If a dispute cannot be resolved informally within 30 days, you and RecruiterX agree that any remaining dispute, controversy, or claim shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Texas, and the arbitrator's decision shall be final and binding.

13.3 Class Action Waiver

YOU AND RECRUITERX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.

13.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14 Changes to Terms

RecruiterX reserves the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page.
  • Provide notice through the platform (via in-app notification, email, or both) at least 30 days before the changes take effect for material modifications.
  • Give you the opportunity to review the revised Terms before they become effective.

Your continued use of RecruiterX after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect.
